TERMS & CONDITIONS

IMPORTANT — PLEASE READ CAREFULLY: These Terms & Conditions ("Terms") constitute a legally binding agreement between you and AgroIntel Analytics Pvt. Ltd. ("we"/"us"/"our"). By placing a Service Request, making any payment, or permitting us to commence work, you unconditionally and irrevocably accept these Terms in their entirety. If you do not agree to these Terms, do not place a Service Request or make any payment to us.

1. Definitions

1.1. "Quotation" means a price schedule we issued to you, setting out the scope of Activities, rates per acre, plot details, and estimated timelines for delivery of services. Each Quotation shall remain valid for a period of thirty (30) days from the date of issuance, unless withdrawn earlier. The rates stated in a Quotation are applicable only for that specific Quotation and validity period, and we reserve the right to revise or modify its rates at any time for future quotations. Nothing in a Quotation shall be construed as a representation or commitment that similar rates will be offered in the future.
1.2. "Service Request" means a request placed by you through any channel we designate (including any identified app, WhatsApp, telephone, or written confirmation) to engage us to carry out one or more Activities in the Quotation.
1.3. "Booking Confirmation" means our acceptance of your Service Request, which together with the Quotation and these Terms forms a binding service agreement between you and us.
1.4. "Activity" means one or more agricultural task listed in the Quotation.
1.5. "Field Personnel" means personnel deployed by us to carry out an Activity at your plot.
1.6. "Invoice" means the billing document generated upon Booking Confirmation, setting out the total amount payable by you.
1.7. "Scheduled Date" means the estimated calendar date on which an Activity is planned to be performed as provided under the Booking Confirmation.

2. Acceptance of These Terms

2.1. You are bound by these Terms from placing a Service Request with us in any form. By accepting the terms, you provide your full and unconditional acceptance of these Terms. These Terms apply to every Quotation, Booking Confirmation, and Invoice we issue to you, whether or not reproduced in full in that document. Any reference to "Terms & Conditions" in a Quotation or Booking Confirmation or Invoice means these Terms.

3. Service Request and Booking Process

3.1. Placing a Request: You may place a Service Request through any channel we designate. We may accept or decline any Service Request without assigning reasons. A Service Request may be placed by you or by any person acting on your behalf ("Authorised Representative"). Any such person shall be deemed to have full authority to bind you, and all actions taken by them shall be binding on you. You remain fully responsible for all obligations under these Terms, including payment, regardless of who places the Service Request. We may rely on instructions from such Authorised Representative without verifying their authority and shall not be liable for any disputes between you and them. These Terms apply to the farmer/plot owner in all cases, irrespective of who places the request or makes payment.
3.2. Binding Confirmation: Once we issue a Booking Confirmation, a binding service agreement is formed. We will communicate confirmation through WhatsApp, or other written means. The scope is strictly limited to the Activities and plot(s) in the Booking Confirmation. Any additional work you require must be separately agreed between us.
3.3. Your Representations: By placing a Service Request, you represent and warrant that: (a) you are the lawful owner or authorised occupier of the relevant plot(s); (b) all plot details you provide are true, complete, and accurate; and (c) your plot is legally accessible and suitable for the Activities requested.

4. Rates and Payment

4.1. Rates: Rates are as set out in the Quotation on a per-acre, per-Activity basis. Billing is based on the acreage you declare and indicated in the Booking Confirmation. Discrepancies between declared and actual acreage will be billed or adjusted on actuals. We may revise rates for future Quotations at any time. Rates in your confirmed booking will not change after Booking Confirmation unless you request a scope change.
Payment: You must pay a non-refundable advance amount as specified in the Invoice, or a minimum of 10% of total Invoice value if not specified, before we initiate any Activity. We will not commence work until your advance is received and confirmed. Your outstanding balance is due within three (3) days of our completion of all Activities or as per the timelines specified in the Invoice. We accept payments through UPI or any other method we notify. If you do not pay by the due date, a late payment charge of 1.5% per month applies on the unpaid amount, compounding monthly until fully settled.

5. Scheduling, Rescheduling and Cancellation

5.1. Estimated Dates: All Scheduled Dates (D+x) are estimates based on our internal planning calendar. They do not guarantee performance by any specific date, and time is not of the essence unless agreed in writing. If an Activity is delayed because of restricted access, absence of your representative, incomplete preparatory work, or non-payment of your advance, we will not be liable for resulting delays and may reschedule at our discretion.
5.2. Rescheduling: We may reschedule any Activity with at least 24 hours' prior notice, for reasons including Field Personnel availability, adverse weather, or operational demand. You may request rescheduling at least 48 hours before the Scheduled Date. Requests within 48 hours may attract a rescheduling fee as per details provided in the Quotation.
5.3. Cancellation: For any cancellation of all or part of the Activities made more than 48 hours prior to the first Scheduled Date, a cancellation fee, as specified in the Quotation, shall apply on a pro-rata basis. For any cancellation within 48 hours of the first Scheduled Date, the entire advance payment shall be forfeited on a pro-rata basis.
5.4. Our Cancellation: We may cancel a confirmed booking due to force majeure, non-payment of our charges, regulatory restriction, or safety concerns at your plot. In such case, we will refund your full advance within 7 working days with no further liability.

6. Your Role

6.1. Plot Access: You must ensure safe, unobstructed, and lawful access to all relevant plots on each Scheduled Date, including approach roads, farm entrances, and intra-plot pathways.
6.2. Your Representative: An authorised adult representative must be present at your plot during Activities, or must have given written instructions to our team leader before we commence. We will not be liable for quality complaints where no authorised representative was present.
6.3. Accuracy of Your Information: You are solely responsible for the accuracy of all plot information you provide including acreage, plot number, crop variety, crop stage, location, and special instructions. Discrepancies may result in revised billing or rescheduling, and we will not be responsible for suboptimal outcomes from inaccurate information.
6.4. Plot Conditions: You warrant that the condition of the crops or plants at your plot is suitable for the Activities requested. You shall ensure that all necessary materials and tools are made available at the plot, as may be requested by us from time to time. We shall not be liable for any adverse outcomes arising from pre-existing conditions, including but not limited to disease, pest infestation, nutrient deficiency, structural damage, water stress, or any other condition existing prior to the commencement of the Activities.
6.5. Plot Safety: You must ensure your worksite is free from hazards that could endanger our Field Personnel including unsafe structures, chemical residues, hostile animals, or restricted zones.
6.6. Conduct: You must not, directly or indirectly, solicit, hire, or engage any Field Personnel deployed by us for independent work during any active booking or for 12 months after the last Activity is completed. You shall not directly or indirectly disparage us or our representatives.

7. Acceptance, Change Request and Complaints

7.1. General Rule: We assign Field Personnel and scheduling based on our operational planning. You do not have a right to demand a specific Field Personnel, team, or date. You may not unilaterally stop or redirect our Field Personnel mid-activity without our prior written consent. If you do so, we reserve the right to treat that Activity as completed for billing purposes and to recover costs incurred. The Field Personnel are engaged by us solely to carry out the confirmed Activities. You must not instruct, or engage our Field Personnel for tasks outside the confirmed scope without our prior written consent.
7.2. Acceptance: Unless you raise a written complaint within 24 hours of our completion of an Activity, that Activity will be deemed completed and accepted satisfactorily by you.
7.3. Change Request: If you believe a deployed Field Personnel is performing an Activity incorrectly, you may raise a replacement request. To be valid, your request must: (a) be submitted in writing via WhatsApp or email to namaste@bharatintelligence.ai on the same day; (b) be accompanied by clear photographic or video evidence; and (c) specifically identify the Activity, the plot, and the nature of the deficiency. Verbal complaints alone will not be acted upon. We will assess and respond within three (3) working days.
7.4. How to Raise a Complaint: All complaints must be submitted via WhatsApp or email to namaste@bharatintelligence.ai, and must include: (a) the specific Activity and plot concerned; (b) a description of the issue; and (c) photographic or video evidence taken on the day of completion. We will respond within three (3) working days.
7.5. Our Remedy: If we determine your complaint is valid, our remedy will be, at our sole discretion: (a) re-performance of the deficient Activity at no additional charge; or (b) a partial credit note against a future Invoice. No cash refund will be issued for completed Activities. Refunds, if any, shall only apply to Activities not yet performed, subject to applicable cancellation terms.

8. Disclaimer and Liability

8.1. Disclaimer: Agricultural activities are inherently subjective. Outcomes depend on factors outside our control including soil quality and composition, water availability and irrigation management, crop genetics and variety, existing plant health and disease load, weather conditions and microclimates, timing relative to crop growth stage, post-activity care and inputs provided by you, pest and disease incidence following our Activities, use of fertilisers, pesticides, and growth regulators applied by you or others, and overall farm management practices. Accordingly, you expressly acknowledge and agree that we provide no warranty, representation, or guarantee of any kind — express or implied — of any minimum crop yield, produce quality, plant survival rate, or any other agricultural or commercial outcome resulting from our Activities. Engaging us for any Activity does not constitute agronomic advice. We are not liable for any crop-related decisions you make before, during, or after our Activities. No claim for crop loss, yield reduction, or produce quality can be made against us on the basis that an Activity did not produce the results you expected.
8.2. Our Liability Cap: Your sole remedy, and our exclusive liability for any issues, defects, or complaints arising out of this engagement, shall be the correction of such defects on a going-forward basis. Our total aggregate liability to you shall not exceed the total Invoice value you have actually paid us for the Activities to which the claim relates. We will not be liable for: (a) loss of crop yield, produce quality, or revenue; (b) crop failure from weather, disease, or pre-existing conditions; (c) losses from inaccurate information you provided; (d) any indirect, consequential, special, or punitive loss; or (e) any loss arising from agricultural variability as described in Clause 8.1.
8.3. Your Indemnity: You will indemnify and keep us, our directors, officers, and Field Personnel harmless from all claims, losses, liabilities, and costs arising from: (a) inaccurate plot or crop information you provided; (b) unsafe or restricted plot access; (c) any breach of these Terms by you; or (d) any act or omission by your representative at the plot.

9. General

9.1. No Employment or Agency Relationship: Field Personnel deployed by us shall not be deemed to be your employees, agents, or representatives under any circumstances. Nothing in this Agreement shall be construed to create any partnership, joint venture, or employment relationship between you and any Field Personnel.
9.2. Force Majeure: We shall not be liable for any delay or failure to perform our obligations arising from events or circumstances beyond our reasonable control, including but not limited to acts of God, extreme or unseasonal weather conditions, floods, drought, natural disasters, fire, war, civil unrest, epidemics or pandemics, government orders or restrictions, curfews, labour strikes or disruptions, shortages of materials, or breakdown of essential infrastructure or utilities. We will notify you as soon as practicable and reschedule your Activities at the earliest opportunity.
9.3. Your Data: We may collect and process your personal information including name, contact details, plot data, and payment records for service delivery, billing, operational analytics, and improving our services. By engaging us, you provide explicit consent to such processing under applicable Indian law, including the Digital Personal Data Protection Act, 2023. We will not sell your personal data to third parties for marketing without your consent.
9.4. Changes to These Terms: We may update these Terms from time to time. The version in force on the date of your Booking Confirmation governs that booking. Updated Terms will be notified to you and will apply to all Service Requests placed after notification. Your continued use of our services after notification constitutes acceptance of the revised Terms.
9.5. Governing Law and Dispute Resolution: These Terms and all disputes arising out of or in connection with them are governed by the laws of India. If you have a dispute with us, please contact us first. We will both attempt to resolve it in good faith within 15 days of written notice of the dispute. Disputes not resolved within 15 days will be referred to a sole arbitrator appointed by us, under the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue shall be Mumbai, Maharashtra, and proceedings shall be in English or Marathi.
9.6. Entire Agreement: These Terms, the Quotation, the Booking Confirmation and the Invoice together form the entire agreement between you and us and supersede all prior representations or understandings.
9.7. Severability: If any provision is held invalid or unenforceable, it will be severed to the minimum extent necessary, and the remaining provisions continue in full force.
9.8. No Waiver: Our failure to enforce any right on a given occasion does not constitute a permanent waiver of that right.
9.9. Assignment: You may not assign your rights or obligations without our prior written consent. We may freely assign ours to any affiliate or successor.
9.10. Language: These Terms are in English. In any conflict with a translation, the English version prevails.
9.11. Consent: BY PLACING A SERVICE REQUEST, MAKING ANY PAYMENT, OR PERMITTING OUR FIELD PERSONNEL TO COMMENCE WORK, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND IRREVOCABLY AGREED TO THESE TERMS IN THEIR ENTIRETY.
